We have built up particular expertise in sales and purchases of Residential Care Home and Hotel businesses.

For instance we recently completed the acquisition of a care home business where the business was held by a limited company and the land and buildings which it occupied were owned by the shareholders in that company. We were able to work with our clients accountants so as to:

• restructure the ownerships to minimise tax liability for the new owners; and
• satisfy the valuation requirements of the funding Bank.

We have also recently dealt with the acquisition of investment property by purchase of the shares in the company owning the property, the intention again being to minimise SDLT exposure for our client.
